BY REGISTERING AND/OR ACCESSING, BROWSING OR USING THE PREVIEEW.COM SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS, AND ANY FUTURE MODIFICATIONS. TERMS AND CONDITIONS OF USE

These general terms and conditions of use (hereinafter referred to as the “Terms and Conditions”) are entered into between Previeew, 11bis, rue Marceau – 92130 Issy-Les-Moulineaux (hereinafter referred to as “Previeew”) and the User, as identified during the user account opening process (hereinafter referred to as the “User”).

1. Edition and hosting of the Previeew.com website

2. Purpose of the General Conditions

Previeew offers the User, on its website accessible at https://www.previeew.com, (hereinafter referred to as “the Site”), various services related in particular to music and its news (hereinafter referred to as the “Services”). The Services are presented on the pages of the Site. Service(s) include, but are not limited to, the content offered, content enhancement elements, the provision of tools, in particular the music content playback tool (hereinafter referred to as “Player(s)”) and, more generally, any other service offered by Previeew and available at the following address: https://www.Previeew.com and/or at any other address that may be added to or substituted for this one.

Previeew reserves the right to add, delete or modify all or part of the Services it offers.

Previeew reserves the right to update, modify and/or delete all or part of the Services at any time and without prior notice.

The purpose of these General Conditions is to govern the provision of and/or access by the User to these Services and the use made thereof.

Access to and use of all or part of the Services offered on the Site imply the User’s full and unreserved acceptance of all of the present General Conditions.

The User therefore confirms that he/she has read and understood all of the present Terms and Conditions before using the Services. The User undertakes to comply with these General Terms and Conditions.

Acceptance of the General Terms and Conditions excludes the application of any different or contrary provision. The provisions of these General Terms and Conditions shall prevail in all cases.

Any use of the Services contrary to the General Terms and Conditions is prohibited and punishable in accordance with Article 9 of these General Terms and Conditions.

The Terms and Conditions constitute the entire agreement between the User and Previeew and, where applicable, supersede all prior agreements, negotiations and understandings between the User and Previeew.

Previeew may propose additional special conditions relating to certain specific Services, which must be accepted by the User if he/she wishes to have access to said Services.

3. Access to Services

Only persons who have opened a user account (hereinafter referred to as the “Account” or “User Account”) and, to do so, duly completed the form containing all mandatory information marked with an asterisk requested by Previeew and who have unreservedly agreed to these Terms and Conditions of Use may access and use the Services subject to access. These services include the following:

the ability to rate and write reviews of recordings and artists
publication of reviews
the possibility of adding and modifying promotional information (listening links, press releases, concert date(s), release date(s), visuals, etc.)
internal messaging
ability to add new recordings and/or music videos
choice of favorite artists
publication of comments
choice of favorite labels and press agents
profile configuration
access and participate in Previeew forums
receive e-mail alerts and newsletters

This registration can be carried out either via the Site or, where applicable, using other methods proposed by Previeew, and in particular by using mobile tools (including cell phones).

Subscriptions:

The Services offered by Previeew are subject to subscription, according to the following formulas:

Billing

You must take out a paid Subscription directly with Previeew by paying a subscription fee in advance every month or according to any other recurring interval communicated to you prior to your purchase.

The user chooses his formula:

Media: 10€HT/month

Music professionals (artists, labels, press officers…): 30€HT/month

Price and tax rate modification

Previeew may, from time to time, change the price of paid Subscriptions, including recurring subscription fees, and will notify you in advance of any price change within a reasonable period of time. The price change will be effective as of the next subscription period following the date of the price change. Subject to applicable law, your continued use of the Previeew Service following the effective date of the price change constitutes acceptance of the new price. If you do not accept a price change, you may reject it by unsubscribing from the applicable paid Subscription before the price change takes effect.

Renewal and cancellation

Your payment to Previeew will be automatically renewed at the end of the applicable subscription period, unless you cancel your paid subscription before the end of the current subscription period. Contact our Customer Support team here to find out how to cancel. Cancellation will take effect on the day following the last day of the current subscription period. We do not issue refunds or credits for partial subscription periods, unless expressly stated otherwise in these Terms.

4. Opening a User Account (User registration)

The User is required to provide Previeew with personal information, which will then be used to identify the User and facilitate secure access to the Site and Services and the use of the Services.

In particular, the User must provide the following information: surname, first name, date of birth, e-mail address.

When the User fills in the Services registration form, he/she undertakes to fill it in correctly, and in particular to provide only accurate, up-to-date and complete information.

The User undertakes to update the information concerning him/her whenever his/her situation changes. The User undertakes to make these changes on the Site directly from his/her account.

If Previeew becomes aware that all or part of the information communicated at the time of registration is erroneous or incomplete, Previeew reserves the right to suspend and/or close the User’s Account and/or block any further access and/or use of the Services, without prejudice to any other recourse or action.

Registration implies the User’s express and unreserved acceptance of these Terms and Conditions, evidenced by the compulsory “ticking” of the “I have read and accept all the rules set out in these Terms and Conditions of Use” box. The User undertakes to keep the General Conditions of Use provided by Previeew on a durable medium.

By clicking on the button “I have read and accept all the rules set forth in these General Terms of Use”, the User acknowledges that he/she has the legal capacity to enter into such an agreement or that he/she has the authorization of the authorized person.

5. Login and password

When registering, the User is asked to enter his or her email address, which is used to identify him or her (the “Login ID”) and enable faster connection when using the Services, and to choose a password of at least four alphanumeric characters (the “Password”).

The User undertakes to choose a Connection Identifier that is available and lawful. In particular, the User agrees not to choose a Login ID that may infringe any intellectual property right, trade name or personality right of any third party.

The Login ID chosen by the User must not :

  • refer to a political orientation, ethnic group, community or religion,
  • be vulgar or insulting,
  • have a sexual or pornographic connotation,
  • refer to narcotics or any other substance prohibited by French law,
  • refer to alcoholic beverages, tobacco or tobacco products,
  • be spelled or spelled alternatively in order to circumvent the above rules.

Previeew reserves the right to delete and/or request the retrieval of Login IDs at any time and for any reason, including, but not limited to, due to claims by third parties that an ID constitutes an infringement of their rights.

The User accepts that his or her name may be publicly accessible on the Site, and the consequences thereof, in particular the fact that certain search engines may index them, without Previeew being held liable.

The Password is personal and confidential. The User is solely responsible for it. He/she undertakes not to divulge it to third parties and to take all necessary precautions to prevent third parties from gaining access to it.

To guarantee the security of his Account, the User undertakes :

not divulge to third parties either their Login ID or their Password;
take all necessary precautions to prevent access by third parties;
take all necessary measures to prevent third parties from accessing the User’s activated Account, even without the User’s knowledge;
not to give access to his/her Account to a third party;
use a personal professional e-mail address and not share this address;
Previeew may easily contact the User, for any reason whatsoever, via his/her e-mail address.

Lending, sharing, exchanging, donating, buying, transferring or selling Accounts is prohibited. Any loan, sharing, exchange, purchase, transfer or sale of an Account will not be enforceable against Previeew and may give rise to the sanctions set forth in Article 9 of these Terms and Conditions.

The User is solely responsible for the use of his/her Account. Any connection or transmission of orders or data using his Password shall be deemed to have been made by him and under his sole responsibility.

In order to preserve the personal and confidential nature of his access, the User is advised to disconnect from his Account at the end of each access session by clicking on “Me déconnecter” or any similar wording proposed.

In the event of fraudulent use of his/her Account and/or Password, or in the event of loss or theft of his/her Password, the User undertakes to inform Previeew immediately.

In the event that the User reasonably suspects a breach of security, including the loss, theft or unauthorized use of his/her login and password or any other problem related to the security of his/her Account, he/she must immediately notify Previeew. Previeew may then reset its password.

Previeew may also block access to the Account in question.

If the User forgets his/her Password, he/she must indicate this on the opening page of the Site by clicking on the heading “I have forgotten my password”. In this case, the User must enter his or her Login ID and will receive an e-mail with a new password at the e-mail address entered during registration.

6. Protection of personal data

6.1. In accordance with the French Data Protection Act no. 78-17 of January 6, 1978, as amended, Previeew hereby informs the User that it respects the confidentiality, integrity and security of any data that the User may communicate to Previeew via the Site or the Services.

Any personal data directly or indirectly identifying the User, in particular: surname, first name, postal, electronic or telephone details, or indirectly, is considered as confidential data under the applicable legislation and treated as such.

It is understood, however, that if the User chooses his or her first and last names as a pseudonym, he or she may not oppose the confidential nature of this data to Previeew.

The opening of a User Account is subject to the processing of personal data for which Previeew is responsible, which the User accepts.

This processing of the User’s personal data is declared to the Commission Nationale de l’Informatique et des Libertés (CNIL).

Previeew will update the CNIL declaration as necessary.

The data collected comes from the provision of their information by persons wishing to access or use the Services and to become a User.

Previeew retains the User’s personal data for the length of time necessary to achieve the purposes described in this article and for the purposes of retaining the elements necessary in the event of its contractual and/or tortious liability being invoked. Beyond this period, only anonymized statistical data will be kept and will not be used for any purpose whatsoever.

Subject to providing proof of identity, the User has the right to access, modify, rectify and delete data concerning him/her. In accordance with article 32 of the French Data Protection Act, and in view of any Newsletter that may collect personal data, the user must be informed of :

  1. The identity of the data controller and, where applicable, its representative
  2. The purpose for which the data is being processed
  3. Whether replies are obligatory or optional
    the possible consequences for him/her of failing to reply
    the recipients or categories of recipients of the data
  4. the individual’s rights under the provisions of section 2 of this chapter, including the right to define directives concerning the fate of his or her personal data after his or her death
  5. Where applicable, any planned transfers of personal data to a country outside the European Community.
  6. the retention period for the categories of data processed or, if this is not possible, the criteria used to determine this period.

6.2. For statistical purposes, Previeew may collect browsing information through the use of cookies. Acceptance of these cookies is mandatory for any subscription.

The User may at any time delete cookies, or cookies already stored on his/her computer, by configuring the privacy protection options of his/her Internet browser (for example: Tools > Clear my tracks > Cookies, on Mozilla Firefox and Tools > Delete browsing history > Delete cookies, on Microsoft Internet Explorer).

Previeew also reserves the right to collect certain information :

related to the Services (log and history of all data exchanges, “log” and connection history).

Previeew may use this information for any purpose, in particular to target advertising banners, improve the use of Services or monitor compliance with the terms of these General Conditions.

Previeew may also transmit the User’s data to commercial partners, subject to the User’s express authorization at the time of registration.

All information contained on the servers may be used by Previeew to carry out any type of control for purposes of prevention and sanction.

6.3. As a general rule, Previeew undertakes not to disclose the personal data of its Users, except with their express authorization or in very specific circumstances, such as those envisaged and specified in these General Conditions, and in particular;

Previeew may be required – by law, in the context of legal proceedings, litigation and/or a request from the public authorities of the User’s country of residence or otherwise – to disclose the aforementioned personal data;
Previeew may also disclose such data if disclosure is necessary for purposes of national security, law enforcement or other matters of public interest;
Previeew may also disclose data concerning its Users if such disclosure is reasonably necessary to enforce compliance with these Terms and Conditions or to protect its business or its Users;
in the event of restructuring or sale, Previeew may transfer any personal data it retains to the relevant third party.

7. Provision and Use of Services

7.1. Commitments and Liability of Previeew

Nothing in these Terms and Conditions shall affect any rights of public policy to which the User may be entitled as a consumer and which the User may not waive by contract.

Previeew provides the Services on an “as is” basis, and makes no warranties in this regard. In particular, Previeew makes no commitment as to the availability of access.

Given the technical hazards associated with the decentralized operation of the Internet network, Previeew provides no guarantee of continuity of service or absence of errors in the Services.

To the fullest extent permitted by applicable law, Previeew makes no representations or warranties, express or implied, including, without limitation, as to the quality and compatibility of the Services for the User’s use. No information or advice given by Previeew, via the Services or otherwise, creates any obligation for Previeew or any guarantee.

In particular, Previeew does not represent or warrant :

that use of the Services will meet the User’s needs ;
that use of the Services by the User will be uninterrupted, timely, secure or error-free;
that any information obtained by using the Services will be accurate or reliable;
that defects in the operation or functionality of any software provided to the User as part of the Services will be corrected.

Subject to the warranties expressly set out in these Terms and Conditions, no conditions, warranties or other terms (including any implied warranties of satisfactory quality, fitness for a particular purpose or compliance with description) apply to the Services.

In the event that Previeew’s liability is nevertheless incurred, compensation will apply only to direct, personal, certain damages, to the exclusion of, but not limited to, all indirect and/or immaterial damages and/or prejudices, such as commercial, moral and financial prejudices, including any loss of profit caused by, originating from or based on the use of the Site or Services.

In any event, Previeew may not be held liable in the event of any fault or act wholly or partially attributable to the User or to a third party, or in the event of force majeure.

In all cases where Previeew may be held liable, no action or claim whatsoever may be brought against Previeew more than 1 (one) year after the date of the breach committed by Previeew.

7.2. Liability of partners

The Services presented by Previeew’s partners are under their sole responsibility. Consequently, Previeew shall not be held liable for any content published and/or services offered by partners via the Site and/or the Services.

7.3. Hypertext links

The Site may contain hypertext links to third-party content or to websites operated by third parties.

Previeew is not responsible for the quality or accuracy of such content or websites, nor can it be considered as approving, publishing or authorizing such websites or content.

Consequently, the operators of these sites are solely responsible for complying with applicable legislation and regulations, in particular with regard to the products and services they offer for sale on their site, and more specifically with regard to consumer protection, distance selling, price regulation, protection of personal data, etc.

Previeew declines all responsibility for any damage that may result from the use of these sites.

7.4. Players

The audio and/or video content accessible via the Site and Services may be viewed using external players integrated into the Site.

The use of Players is reserved for the User’s personal and non-commercial use, and solely for streaming purposes, without the possibility of downloading, via the Site.

Previeew reserves the sole right to insert or authorize any third party of its choice to insert advertising, promotional and/or sponsorship messages in any pages of the Site and/or Services, and in particular in the Players.

Previeew may insert or authorize any third party of its choice to insert advertising, promotional or sponsorship messages in the Players before or after viewing the audios and/or videos. These messages are not considered to be incorporated into the audios and/or videos.

The Players may offer the User functionalities enabling him/her to choose to make content accessible from the Players outside the Site. The mere provision of these functionalities does not imply any authorization to exploit the content, such exploitation being carried out under the sole responsibility of the User, who must obtain any authorization that may be required for use outside the Site.

Under no circumstances may Readers be used outside the Site for commercial or advertising purposes, or associated with other content for commercial or advertising purposes.

7.5. Intellectual property – Parasitism – Prohibition on use of data – Protection of the Site and databases

Warning: All data and information present on or accessible through the Previeew site may under no circumstances be reproduced and used for purposes other than consultation by the User directly connected to the Site. Previeew is and will be particularly vigilant, and will take all appropriate action against any use made in violation of intellectual property rights and/or the law and/or the site’s General Terms and Conditions.

If the User wishes to use data, information and/or services from the Site for any other purpose, and/or to disseminate such data, information and/or services, the User must contact Previeew :

The names, images, logos or any other distinctive sign presented on the Site identifying Previeew and/or its partners and/or third parties and/or their products and services are content protected under intellectual property rights, and in particular trademark rights, design rights and/or copyright and related rights, in France and abroad.

The Services and their contents, the general structure of the Site, the Services, the visual interfaces, the interactive elements, the editorial contents, images, photographs, sounds, phonographic recordings, videos or multimedia, the Players, the software and databases used, the graphics, the design, the compilation, the computer code, the products, the software, the services, the proprietary information, the service marks, the brands, trade names, distinctive signs (such as logos), presentation, look, appearance, arrangement of elements, and all other content presented on the Site and in the Services are protected by copyright, neighbouring rights and/or the sui generis right of the database producer, and in general, by common law civil liability as well as by applicable international conventions.

Previeew and/or its partners are the sole holders of the aforementioned intellectual property rights to all content presented on the Site and in the Services.

The User undertakes to respect these rights.

In this respect, and under penalty of civil and/or criminal prosecution, unless expressly agreed by Previeew, the User undertakes in particular not to :

reproduce, represent, modify, publish, adapt on any medium whatsoever, by any means whatsoever, all elements present on the Site and Services;
undermine the computer systems used to provide the Services, including any intrusion or attempted intrusion;
reverse-engineer all or part of the Services in order to correct any errors; only Previeew is authorized to make any corrections;
distribute and/or broadcast copies of all or part of the Services;
remove or delete any mention and/or proprietary information present on all or part of the Services;
resell, rent, sublet or transfer in any way whatsoever to a third party the Services.

Any use of the information, data and elements of the Site and Services, for any purpose whatsoever other than simple direct consultation on the Site by the user, is strictly forbidden, except with the prior written authorization of Previeew.

Under no circumstances may access to the Site’s information and to certain data allow the user to consider that he/she may extract, substantially or otherwise, and/or use outside consultation of the Site, any data whatsoever from the Site or from any element of the Site. Such extractions and/or uses are strictly prohibited.

Any reproduction and/or representation, in whole or in part, on any medium whatsoever, of the distinctive signs or content presented on the Site, including information and/or data, without the prior written authorization of Previeew, its partners or third parties, is prohibited and constitutes, in particular, an infringement of copyright and may, as such, incur the civil and criminal liability of its author.

The digital files on the Site may be protected by technical protection measures or “Digital Rights Management systems”, i.e. protection systems making it possible to control their use and in particular their copying. The aim of these systems is to offer the User maximum flexibility in the use of the content made available, while at the same time protecting intellectual property rights.

The User shall refrain from taking any measures to circumvent or undermine digital content control techniques. The User shall also refrain from infringing reproduction, representation and other rights in any way whatsoever.

These technical protection measures and Digital Rights Management systems are governed by the French Intellectual Property Code. Any attempt to circumvent these measures is punishable by the penalties stipulated in this same code. More generally, any use outside the framework defined in the present General Terms and Conditions would be considered an act of counterfeiting, which would expose the User to civil or criminal legal proceedings under the legislative and regulatory provisions in force.

In view of the legal protection afforded to technical measures and Digital Rights Management systems under the provisions of the French Intellectual Property Code, the User may not transfer the license, content or digital files to a third party.

Previeew grants public search engine operators permission to use spiders to copy data from the site for the sole purpose of creating publicly searchable indexes of such data, but not caches or archives of such data. Previeew reserves the right to revoke these exceptions either generally or in specific cases.

7.6. Ownership of rights

Previeew, now or in the future, allows you and other users to publish or insert links to media content, text, audio and video recordings, photos, graphics, comments or other information or content (the “User Content”), and to share such User Content with subscribed users. User Content is not controlled by Previeew. Previeew does not guarantee that your User Content will remain available on Previeew in any manner whatsoever. Previeew does not host the audio and/or video files you publish, said audio/video files are hosted on the services on which you publish them (illustrative examples: soundcloud, your servers, bandcamp, etc.) We may remove your User Content at our sole discretion. You understand that any User Content you post on Previeew is accessible by subscribed users of the Previeew Site, and Previeew does not guarantee the confidentiality of such User Content, nor does Previeew guarantee that your intellectual property rights or any proprietary rights in such User Content will not be infringed or misappropriated.

License of Rights. You acknowledge that by submitting User Content to Previeew, you hereby grant Previeew and its affiliates a worldwide, non-exclusive, royalty-free, transferable license, with the right to grant and authorize sublicenses, the right to use the name you link to such User Content, if they choose to do so, as well as any images, representations, photographs, drawings, graphics published by you as User Content. You also hereby grant each User of the Previeew Site a non-exclusive license to access your User Content through the Previeew Site, and to use such User Content as permitted by the features of the Previeew Site and these Terms and Conditions. The licenses granted above with respect to User Content you submit to the Previeew Site are perpetual and irrevocable, except with respect to User Content removed or deleted during maintenance of your user account on the Previeew Site, or any User Content following deactivation or deletion of your user account on the Previeew Site. You may specifically notify Previeew of the termination of the foregoing license by you to Previeew, specifically identifying the item(s) of User Content to which such termination applies, in which case the foregoing license shall terminate within a commercially reasonable time after you provide such notice to Previeew. You understand and agree, however, that even after such termination, Previeew may retain, but not display or exploit, copies on its server of such User Content. Notwithstanding anything to the contrary herein, the foregoing licenses granted by you in connection with Feedback (as defined below) submitted by you are perpetual and irrevocable.

User Content Disclaimer. Except for the limited license granted above, we do not obtain or control any rights to the User Content and exercise no editorial control over it. Nothing herein requires us to verify, and we have not necessarily verified, any representations or warranties made by Users with respect to such User Content.

You expressly authorize Previeew to use the name(s), photographs and likenesses, illustrations, biographical and other information provided by you or the artists whose performances are incorporated into the Recordings and/or music videos in connection with the User Content and Previeew’s general activities.

Warranties

You warrant that: (i) you own the exploitation rights to the phonographic and/or videomusic recordings, as well as to all audio, video, photographic, graphic elements (such as the visuals on the cover of the phonographic recording(s)), and all protected elements (such as names, pseudonyms, logos, trademarks and denominations, photographs, biographies, visuals, as well as works of the mind or other pre-existing intellectual property that may be incorporated therein). You also guarantee Previeew against any recourse by persons having participated in the Recordings, videomusic and all other aforementioned elements. (ii) employees of one of the aforementioned beneficiaries;

You agree to reimburse Previeew for the amount of any judgment that may be rendered against it by virtue of an enforceable court decision or that may result from a settlement agreement reached by Previeew in agreement with the PRODUCER, as a result of recourse or claim, including all costs incurred by Previeew including, without limitation, all reasonable costs incurred by Previeew in its defense, damages owed by Previeew, and any other reasonable costs incurred by Previeew (including outside attorneys’ fees, if any), directly or indirectly, as a result of such actions, subject to submission of the corresponding supporting documentation.

With respect to User Content, you acknowledge and warrant that: (a) you own, or have the necessary licenses, rights, consents and authorizations to use and authorize Previeew to use, all patents, trademarks, copyrights or other proprietary rights in all User Content to enable the inclusion and use of User Content in the manner intended by Previeew in accordance with these Terms and Conditions, and to grant the rights and license set forth in this Section, (b) your User Content, Previeew’s use of such User Content in accordance with these Terms and Conditions, will not and shall not: (i) infringe, violate or misappropriate any right of any third party including any copyright, trademark, patent, trade secret, moral right, right of privacy, or any other intellectual property or proprietary right; (ii) defame, libel, or otherwise interfere with the right of privacy or any other proprietary right of any other person; or (iii) violate any applicable law or regulation.

Prohibited uses of User Content. Except as otherwise provided in these Terms and Conditions, you also agree not to publish, post, submit, transmit or otherwise falsely or inaccurately portray or otherwise cause any harm to Previeew or any third party; (ii) any material that is unlawful, libelous, defamatory, slanderous, pornographic, obscene, abusive, profane, vulgar, sexually explicit, threatening, harassing, harmful, hateful, racially or ethnically offensive or otherwise objectionable, or that encourages conduct that would be considered a criminal offense, give rise to civil liability, violate any law or right of privacy, or is otherwise inappropriate; (iii) advertisements and/or commercial solicitations for products and/or services; or (iv) anything that would be harmful to minors in any way whatsoever.

8. Obligations and liability of Users

8.1. Use of the Site and Services

The User undertakes, as part of an obligation of result, to comply with the terms of these General Terms and Conditions.

The User must comply with the rules of conduct set out below. In particular, the User must not use the Services to :

transmit any content of a paedophilic nature or in any way prejudicial to minors or to the protection of children and adolescents;
send or transmit any message whose content is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, threatening to the privacy of others, hateful, racist, homophobic, anti-Semitic, xenophobic, revisionist or otherwise objectionable;
transmit any content contrary to public order and morality;
transmit any content that may constitute, but is not limited to, apology or incitement to commit crimes and/or offenses, incitement to suicide, incitement to the use of drugs or prohibited substances, indirect advertising for alcoholic beverages, tobacco or tobacco products; incitement to commit offenses against the authority of justice, lawsuits, disclosure of information relating to an individual’s tax situation; dissemination outside authorized conditions of polls and voting simulations relating to an election or referendum; defamation and insults; invasion of privacy; or acts endangering minors, in particular by the manufacture, transport or dissemination of messages of a violent or pornographic nature, or of a nature to cause serious harm to the human person and its dignity, or to equality between women and men;
transmit any content that mentions or incites cruelty towards animals;
transmit any message the content of which the User is not authorized to disseminate, in particular by a legislative measure or legal act (including, but not limited to, internal, privileged or confidential information, information learned or disclosed in the context of an employment contract or confidentiality agreement);
transmit any message the content of which infringes any patent, registered trademark, registered design, trade secret, copyright, neighboring right, intellectual property right or any other property right belonging to another, personality right, or the publication of which would be likely to constitute a tort;
forge headers, official or otherwise, or otherwise manipulate identifiers in such a way as to disguise the origin of content transmitted via the application;
collect or store data in order to create a database concerning all or part of the Services or the Users of the Services;
access or attempt to access the Account of another User of the Services;
transmit any message containing computer viruses or any other code, files or programs designed to interrupt, destroy or limit the functionality of any software, computer, computer system or telecommunications equipment, without this list being limitative;
transmit messages inciting or permitting any act of computer piracy or circumvention of technical protection devices (“crack”) or information/mention on intellectual property rights;
use or launch an automated system (in particular a robot, spider or offline reader) with access to the Services in such a way as to send more request messages to the Previeewé servers during a given period than a human being could reasonably produce during the same period using a standard (i.e. unmodified) Internet browser available on the market;
interfere with or disrupt the Services, servers or networks connected to the Site, or refuse to comply with any requirements, procedures, general rules or regulations applicable to the networks connected to the Site;
intentionally or unintentionally violate any applicable local, national or international law or regulation or the limitations contained in these Terms and Conditions;
impersonate any person or entity, including a Previeew official, host and/or administrator of the Services;

provide information linking to other sites (whether by the creation of hypertext links, or by the mere provision of information) whose content is likely to contravene any laws and regulations in force, and in particular is likely to infringe the rights of persons and property, and / or intellectual property rights;
undermine in any way whatsoever Previeew, its directors and/or employees and/or its Partners or their image and reputation, in particular by insulting or threatening them;
use the Services for promotional and commercial purposes, in particular, but without limitation, to disseminate or facilitate the dissemination of advertising messages or solicitations;
use all or part of the Services to offer other services,
collect, store and disseminate personal data relating to other Users or any third party;
disrupt or attempt to disrupt the proper functioning of the Services;
connect to the Services in a manner not expressly provided for in these General Terms and Conditions.

The User undertakes not to use computer flaws, bugs or any other form of error to obtain advantages in the use of the Services. Similarly, the User agrees to immediately notify Previeewé when he/she notices a flaw or error in the Services.

The User undertakes to guarantee and indemnify Previeew, its representatives, employees, partners, and/or any third party, against any damage, claim or demand emanating from third parties following the use of the Services. This guarantee covers any compensation that may be due, as well as reasonable legal fees and court costs.

The User undertakes to pay all applicable fees and taxes for transactions carried out via his/her User Account.

8.2. Provision of content by Users

Previeew users, whether they are artists, bands, phonographic producers, labels, distributors, press agents, publish content or otherwise contribute to the content of the Previeew Service (the <<User Content >>). For the sake of clarity, the <<User Content >> includes all information, media and other content added, created, uploaded, submitted, distributed or published on the Previeew Service by users.

You are solely responsible for all User Content that you publish. You warrant that you are the owner of the rights to the phonographic and/or videomusic recordings, as well as all protected elements (such as names, pseudonyms, logos, trademarks and denominations, photographs, biographies, visuals, as well as any intellectual works or other pre-existing intellectual property that may be incorporated therein). You also guarantee Previeew against any recourse by persons having participated in the Recordings, videomusic and all other aforementioned elements.

For any User Content you publish on Previeew, you represent that (1) you own or have the right to publish said User Content; you warrant that (2) such User Content or its use by Previeew in accordance with the license granted below: (i) does not infringe these Terms, applicable law, intellectual property or other rights of third parties; or (ii) does not imply any affiliation or endorsement, with respect to you or your User Content, by Previeew or any artist, band, record label or other person or entity, without the prior express written consent of Previeew or such person or entity.

When posting or sharing User Content or other information on the Previeew Service, please keep in mind that the content and other information will be accessible to subscribers of the Services and may be used and re-shared by others on the Previeew Service. Please exercise caution when posting or sharing on the Previeew Service and consider your account settings. Previeew is not responsible for content that you post or share or that other users post or share on the Previeew Service.

Monitoring of user content

Previeew may, but is not obligated to, monitor or review User Content. Previeew reserves the right to remove or disable access to any User Content for any reason. Previeew may take such action without prior notice to you.

Licenses you grant us

User Content

You retain ownership of your User Content when you post it on the Service. However, in order for us to make your User Content available on the Previeew Service, we require a limited license from you to such User Content. Accordingly, you hereby grant Previeew a non-exclusive, royalty-free, fully-paid, irrevocable, worldwide license to make available, via the recordings and/or music videos player (as well as all protected elements such as names, pseudonyms, logos, trademarks and denominations, photographs, biographies, as well as any pre-existing works of authorship or other intellectual property incorporated therein), perform and display, and otherwise use such User Content through any medium, alone or in combination with other Content or media, in any manner whatsoever and by any means, method or technology now known or later developed, in connection with the Previeew Service. Where applicable and to the extent permitted by applicable law, you also agree to waive and not to assert any moral rights or equivalent rights, such as your right to be identified as the author of any User Content, including comments, and your right to object to derogatory treatment of such User Content.

The Services may include features such as discussion forums in which the User may publish “User Content”.

User Content”, generated by Users, refers to all reviews and comments that the User publishes on the Site, as well as text communications, images, videos, sounds, materials, data, observations, comments and information that the User publishes on the Site’s forums, uploads or transmits via the Services, or that other Users upload and/or transmit (hereinafter referred to as “User Content”).

In addition to the obligations set forth in Article 6.1, Users who provide User Content are subject to the obligations set forth in this Article 6.2.

Previeew cannot guarantee that it or other Users will not take over the ideas and information that a User has chosen to share via the Services.

Therefore, if a User wishes to keep an idea or information secret and/or does not wish to see it used by others, it is the User’s responsibility not to put it online via the Services. If the User submits to Previeew any suggestions, proposals, comments or other materials (hereinafter collectively referred to as “Submissions”) in connection with the Services, Previeew shall have no obligation to keep such Submissions confidential, shall have no obligation to respond thereto in any way, and may use such Submissions for any purpose whatsoever, without compensation or remuneration, without prejudice to the application of any other relevant provisions hereof.

The User declares that it owns all rights to the User Content it publishes. The User undertakes to ensure that User Content (without this list being limitative) :

does not violate applicable legal provisions, contractual stipulations or other third-party rights, in particular personality rights or intellectual property rights. In other words, the User will not put online any content, in particular audio and/or video, of which he/she is not the author, and will not include in his/her phonographic recording and/or video (as well as any protected elements such as names, pseudonyms, logos, brands and denominations, photographs, biographies, visuals, as well as any intellectual works or other pre-existing objects of intellectual property which may be incorporated in the latter) any content for which the User does not have the rights if he/she has not obtained the required authorizations. Such content may include phonographic recordings, music videos, copyrighted program excerpts or videos created by third parties;
does not contain viruses, adware, spyware, worms or other malicious software;
is not pornographic, sexual, pedophilic or in any way harmful to minors or the protection of children and adolescents. Previeewé cooperates with law enforcement agencies and will report any sexual exploitation of children;
does not depict reprehensible acts, such as animal abuse, drug use or bomb-making;
does not depict violent images, or show people being injured, attacked or humiliated;
does not contain shocking content (images of accidents, corpses, etc.);
does not constitute, without the following being limitative, apology or incitement to commit crimes or offenses, incitement to suicide, incitement to the use of drugs or prohibited substances, indirect advertising for alcoholic beverages, tobacco or tobacco products incitement to commit attacks; incitement to discrimination, hatred or violence on the grounds of race, ethnicity, religion, gender, disability, age, sexual identity, veteran status or nationality;
is not contrary to public order and morality.

Theft, persecution, threats, harassment, invasion of privacy or disclosure of other members’ personal data will not be tolerated.

The User shall not create confusing descriptions, tags, titles or thumbnails in order to attract a greater number of Internet users. The User undertakes not to publish large quantities of non-targeted, undesirable or repetitive content.

Discussion forums and comment areas may under no circumstances be used for professional purposes.

All advertising and/or sponsorship messages in User Content are prohibited.

The User is entirely and solely responsible for the legality and use of User Content that he/she publishes or transmits via the Services, and guarantees Previeewé against all claims and/or actions by third parties.

Previeew reserves the right to limit the storage capacity of User Content that the User places online.

Previeew may not under any circumstances be held liable in the event of illegality or illicit use of User Content.

Given the amount of information and content that may be posted online, Previeew is under no obligation to verify said information and/or content in any way prior to posting online.

Previeew has the right, at its sole discretion, to immediately delete any User Content that appears to be illicit, and in particular any User Content that has been the subject of a claim, founded or not, and, in particular, likely to infringe the rights of third parties and/or contrary to these General Conditions, and/or to delete the User’s account, and/or to block any new registration request.

The User expressly accepts this right of Previeew, and undertakes not to make any claim against Previeew in the event of deletion of User Content for any reason whatsoever.

By submitting any User Content whatsoever (including, but not limited to, reviews, comments, images, videos, idea submissions, suggestions and forum postings) to the Site, the User grants Previeew an irrevocable, non-exclusive, worldwide, royalty-free right and license to use the User Content in whole or in part, outside of the space in which the User uploaded it without Previeew’s intervention, for the duration of copyright protection as set forth in the French Intellectual Property Code, to use, reproduce, modify, adapt, publish, exploit, perform, communicate, represent, translate, sub-license, create derivative works from, and distribute User Content, or incorporate User Content in any form whatsoever, media, or any technology known or unknown to date, in particular to promote Previeew and its services and agrees to any use for such purposes.

To the extent permitted by law, the User hereby acknowledges and accepts, given the type of Services covered by these Terms and Conditions, that he/she is aware of the risk of dissemination of User Content, and the risk of adaptation and/or modification of such Content, and accepts this possibility. The User further acknowledges that, for the same reasons, his or her name and authorship may not be systematically associated with his or her User Content, and accepts these conditions of use.

9. Sanctions in the event of non-compliance with the General Conditions

In the event of a breach by the User of any of the provisions of the Terms and Conditions, Previeew reserves the right to temporarily or permanently suspend, without prior notice and at its sole discretion, access to and use of the User Account, the Site and the Services, without compensation.

In addition, Previeew may suspend access to the User Account and use of the Services at any time.

If the User has more than one User Account, any violation of the rules relating to one of the Accounts allows Previeew to apply the sanctions provided for in this article to all of the Accounts.

As a consequence of a definitive suspension, the User Account will be closed and any new registration request may be blocked. Users whose Accounts have been deleted by Previeew, or who have been denied access to the Services made available online by Previeew, may not create a new Account, nor use the Services, unless authorized by Previeew.

The sanctions described above may be imposed without prejudice to any criminal or civil proceedings to which the User may be subject by public authorities, third parties or Previeew.

10. Revision of the General Conditions

Previeew reserves the right to modify all or part of these General Conditions. The User will be informed by any means of the new general conditions in order to submit them for acceptance.

In the event of modification of these General Conditions, the User will be asked to accept the new General Conditions at the time of connection following said modification. The modified General Terms and Conditions will only apply to the User once he/she has expressly accepted them.

However, in the event of changes to the information mentioned in article 2, the User will be informed, but these changes will not be considered as changes to the present General Terms and Conditions.

11. Acceptance and duration of the General Terms and Conditions

11.1. Acceptance

The present General Terms and Conditions take effect on the date of their acceptance by the User under the conditions defined above.

11.2. Duration

These Terms and Conditions are entered into between Previeew and the User for an indefinite period.

The User is free to terminate them by sending an e-mail with fifteen (15) days’ notice to the address indicated in article 1.1 above, or, more simply, by ceasing to use the Site and/or Services for more than three (3) months.

Previeew is free to terminate these Terms and Conditions by sending an e-mail to the User with fifteen (15) days’ notice, or when the User has ceased to use the Site and/or Services for more than three (3) months.

It is however specified that the stipulations of the General Terms and Conditions made available to the User prior to the effective date of termination will be maintained insofar as they govern the Services used prior to the effective date of termination.

12. Validity of the General Terms and Conditions

If one or more stipulations of these General Terms and Conditions are held to be invalid or declared as such in application of a law, regulation or following a final decision by a competent court, the other stipulations shall retain all their force and scope.

The parties then agree to replace the clause declared null and void by a new stipulation which, in terms of its content and the balance of the clause, is as close as possible to that initially agreed.

13. Applicable law, disputes and jurisdiction

13.2 Disputes – Jurisdiction

Prior to any referral to a court, the User agrees to inform Previeew of any difficulty, by mail addressed to Previeew, 11bis, rue Marceau – 92130 Issy-Les-Moulineaux – France and to seek, at Previeew’s request, an amicable solution.

CHARTER AND MODERATION

Users are responsible for the comments and criticisms they send to the Previeew site; they are required to comply with the legal and regulatory provisions in force, in particular those that prohibit abuse of freedom of expression.

They must ensure that their comments and criticisms do not include, in particular :

  • racist, xenophobic, anti-Semitic, homophobic, negationist, pornographic, pedophilic, child pornographic, zoophilic, etc.content
  • abusive, disrespectful, vulgar, aggressive, defamatory, or invasive of privacy, and more generally of anyone’s personal rights
    statements that offend human dignity or impersonate others
  • incitement to violence, murder, rape, suicide, terrorism, prostitution, the use, manufacture or distribution of illegal substances, etc.
  • content that incites or glorifies crimes or misdemeanors, particularly crimes against humanity
  • content that violates the privacy rights or intellectual property rights of third parties (in particular articles, books), for which it does not have the necessary authorizations from the authors and/or rightful owners, and that promotes piracy, peer-to-peer, streaming, torrents or download links/url
  • content promoting profit-making services

The comment and/or review sent by the user may not contain any link to such content.

All false profiles will be immediately deleted.

This list is not exhaustive, and the user is hereby informed that Previeew shall be free to delete any comment or review containing remarks in violation of legal or regulatory provisions, or contrary to this charter. This possibility is not exclusive of the possibility provided for in the previous article of suspending or deleting the user’s account, if necessary.

As moderation does not allow for the a priori detection of all illicit content, and in particular content infringing the rights of third parties, the user guarantees Previeew against any action or claim following the posting of his/her comment or review, should the latter prove to be illicit.

Users are also reminded that if their comments or reviews are found to be unlawful, data enabling them or their computer to be identified may be communicated by the hosts of the Previeew site to the judicial authorities, if the latter so require, in accordance with article 6-II of the law of June 21, 2004.

Although the Previeew site allows users to exchange opinions on music, it is in no way a dating site. Users may respond to comments posted online, but are asked to avoid any invective, interpellation or solicitation. Under no circumstances may they exchange contact details with other users of the site. Any exchange or direct contact between two users will be considered as contrary to the present charter, and will therefore, if necessary, be the sole responsibility of the latter. Under no circumstances may Previeewéne be prosecuted or held liable for any exchange or direct contact between users.
Use of the Previeew site by minors is under the responsibility and supervision of their parents and legal guardians.
The Previeew moderation team examines all comments and reviews received. Users are therefore asked not to send comments unnecessarily, not to post the same comment or review under different pseudonyms, and to refrain from using any technique.

INFRINGEMENT OF COPYRIGHT / PRODUCERS’ / PERFORMERS’ RIGHTS

To report abuse, harassment, offensive content or privacy claims, please email reclamations@Previeew.com. To send a notice of infringement, you must first send us a written statement containing the information indicated, in the following format:

Send us a statement that you have found a phonographic recording and/or video on Previeew that you believe infringes your copyright. Example: “I hereby confirm that I consider the phonographic recording/video identified below to be an infringement of my copyright”.
Indicate the country in which your rights apply.
Tell us the title of the phonographic recording/video and the full URL of its playback page.
Explain why the phonographic recording and/or video infringes your rights.
Identify the nature and information (title, publisher, dates, etc.) of the video for which you are the rights holder and which you believe to be infringing. If this information is available on the Internet, we advise you to send us the link.
Don’t forget to give us your contact details so that we can reply (e-mail address preferred).
Give us your contact details so that we can forward them to the sender of the video concerned. This will enable them to contact you directly to resolve the dispute (e-mail address preferred).
I certify that the information contained in this notification is accurate and that I am the owner of the copyright, or that I have an exclusive right allowing me to report an infringement in accordance with this right.
